Agreement to Terms

These Terms and Conditions constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and LiveIt ("we," "us" or "our"), concerning your access to and use of the LiveIt application and website (collectively, the "Service").

You agree that by accessing the Service, you have read, understood, and agree to be bound by all of these Terms and Conditions. If you do not agree with all of these Terms and Conditions, then you are expressly prohibited from using the Service and you must discontinue use immediately.

Supplemental terms and conditions or documents that may be posted on the Service from time to time are hereby expressly incorporated herein by reference. We reserve the right, in our sole discretion, to make changes or modifications to these Terms and Conditions at any time and for any reason.

We will alert you about any changes by updating the "Last updated" date of these Terms and Conditions, and you waive any right to receive specific notice of each such change. It is your responsibility to periodically review these Terms and Conditions to stay informed of updates. You will be subject to, and will be deemed to have been made aware of and to have accepted, the changes in any revised Terms and Conditions by your continued use of the Service after the date such revised Terms and Conditions are posted.

Use License

If you access the Service via a mobile application, then we grant you a revocable, non-exclusive, non-transferable, limited right to install and use the mobile application on wireless electronic devices owned or controlled by you, and to access and use the mobile application on such devices strictly in accordance with these Terms and Conditions.

You shall not:

Decompile, reverse engineer, disassemble, attempt to derive the source code of, or decrypt the application
Make any modification, adaptation, improvement, enhancement, translation, or derivative work from the application
Violate any applicable laws, rules, or regulations in connection with your access or use of the application
Remove, alter, or obscure any proprietary notice (including any notice of copyright or trademark)
Use the application for any revenue generating endeavor, commercial enterprise, or other purpose for which it is not designed or intended
Make the application available over a network or other environment permitting access or use by multiple devices or users at the same time
Use the application to create a product, service, or software that is, directly or indirectly, competitive with or in any way a substitute for the application

Photo Album Access and Privacy

Our application requires access to your device's photo album. By using our Service, you acknowledge and agree that:

We only access your photo album for the purpose of allowing you to select and use photos within the app
We do not store, collect, or transmit any of your photos to our servers
All photo operations are performed locally on your device
You can revoke photo album access through your device settings at any time

User Representations

By using the Service, you represent and warrant that:

You have the legal capacity and agree to comply with these Terms and Conditions
You are not a minor in the jurisdiction in which you reside, or if a minor, you have received parental permission to use the Service
You will not access the Service through automated or non-human means
You will not use the Service for any illegal or unauthorized purpose
Your use of the Service will not violate any applicable law or regulation

Intellectual Property Rights

Unless otherwise indicated, the Service is our proprietary property and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Service (collectively, the "Content") and the trademarks, service marks, and logos contained therein (the "Marks") are owned or controlled by us or licensed to us, and are protected by copyright and trademark laws and various other intellectual property rights.

The Content and the Marks are provided on the Service "AS IS" for your information and personal use only. Except as expressly provided in these Terms and Conditions, no part of the Service and no Content or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose whatsoever, without our express prior written permission.

Prohibited Activities

You may not access or use the Service for any purpose other than that for which we make the Service available. The Service may not be used in connection with any commercial endeavors except those that are specifically endorsed or approved by us.

As a user of the Service, you agree not to:

Systematically retrieve data or other content from the Service to create or compile, directly or indirectly, a collection, compilation, database, or directory without written permission from us
Make any unauthorized use of the Service, including collecting usernames and/or email addresses of users by electronic or other means
Circumvent, disable, or otherwise interfere with security-related features of the Service
Engage in unauthorized framing of or linking to the Service
Trick, defraud, or mislead us and other users, especially in any attempt to learn sensitive account information
Make improper use of our support services
Engage in any automated use of the system
Interfere with, disrupt, or create an undue burden on the Service or the networks or services connected to the Service
Attempt to impersonate another user or person
Use any information obtained from the Service in order to harass, abuse, or harm another person
Use the Service as part of any effort to compete with us or otherwise use the Service for any revenue-generating endeavor or commercial enterprise
Upload or transmit (or attempt to upload or to transmit) viruses, Trojan horses, or other material that interferes with any party's uninterrupted use and enjoyment of the Service

Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms and Conditions.

Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.

Disclaimer

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. You agree that your use of the Service will be at your sole risk. To the fullest extent permitted by law, we disclaim all warranties, express or implied, in connection with the Service and your use thereof, including, without limitation, the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We make no warranties or representations about the accuracy or completeness of the Service's content or the content of any websites linked to the Service and we will assume no liability or responsibility for any:

Errors, mistakes, or inaccuracies of content and materials
Personal injury or property damage resulting from your access to and use of the Service
Any unauthorized access to or use of our secure servers and/or any and all personal information stored therein
Any interruption or cessation of transmission to or from the Service
Any bugs, viruses, trojan horses, or the like which may be transmitted to or through the Service by any third party
Any errors or omissions in any content and materials or for any loss or damage of any kind incurred as a result of the use of any content posted, transmitted, or otherwise made available via the Service

Limitation of Liability

In no event will we or our directors, employees, or agents be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit, lost revenue, loss of data, or other damages arising from your use of the Service, even if we have been advised of the possibility of such damages.

To the maximum extent permitted by applicable law, we assume no liability or responsibility for any:

Errors, mistakes, or inaccuracies of content
Personal injury or property damage, of any nature whatsoever, resulting from your access to and use of our Service
Any unauthorized access to or use of our secure servers and/or any and all personal information stored therein
Any interruption or cessation of transmission to or from the Service
Any bugs, viruses, trojan horses, or the like that may be transmitted to or through the Service by any third party
Any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted, emailed, transmitted, or otherwise made available through the Service
